Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Capital Prep — our websites, study platform, mobile experiences, content, and related services (together, the “Service”), operated by Authority Group LLC(“Capital Prep,” “we,” “us”). By creating an account, purchasing a pass, or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
1. Eligibility
You must be at least 18, or the age of majority where you live, to buy a pass and create an account. If you are between 13 and the age of majority, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms. The Service is not directed to children under 13, and we do not knowingly collect their information.
2. Your account
You’re responsible for the activity on your account and for keeping your sign-in secure. Provide accurate information and tell us promptly of any unauthorized use. One account is for one person: access is personal and non-transferable, and may not be shared, sold, or used by multiple people. We may reclaim inactive accounts after an extended period.
3. What Capital Prep is
Capital Prep is a study platform that helps you prepare for certification and licensing exams. Depending on your exam and plan, it may include practice questions with explanations, spaced-repetition flashcards, study guides, audio, mnemonics, mock exams, a readiness score, and an AI study tutor. We add, improve, and occasionally retire features over time.
4. Free trial
We may offer a free trial so you can try the Service before you pay. Trials give limited access for a limited time and may change or end at any time. No payment is required to start a trial, and a trial does not automatically convert into a paid purchase.
5. Passes, pricing & payment
Access is sold as one-time passes per exam (for example, a 7-day, 30-day, or Lifetime pass) — not a recurring subscription. You pay once for the access length you choose; there is nothing to cancel and no automatic renewal. Prices are shown at checkout, are in U.S. dollars, and may change over time (changes never affect a pass you’ve already bought). Payments are processed by our payment provider, Stripe; we don’t store your full card details. You’re responsible for any applicable taxes.
6. Refunds & the Pass Guarantee
Your purchase is protected by a money-back window and by our Pass Guarantee — reach the stated readiness level and, if you still don’t pass, we refund your pass (and, on the Lifetime plan, reimburse your official retake fee). The full, controlling terms are on our Refund & Guarantee Policy page.
7. Our content & your license
All Service content — questions, explanations, guides, flashcards, audio, software, and design — is owned by us or our licensors and protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable license to use it for your own exam preparation while your access is active. You may not copy, distribute, resell, publish, scrape, or create derivative works from it, or use it to build a competing product.
8. The AI tutor
Our AI tutor is designed to answer using your study material and to cite its sources. Like all AI, it can still be incomplete or wrong; it is a study aid, not professional, legal, medical, or financial advice, and it is not a substitute for the official exam materials. Always verify important facts against authoritative sources.
9. Acceptable use
You agree not to:
- share, sell, or transfer your account or access;
- copy, scrape, redistribute, or resell our content;
- reverse-engineer, probe, or disrupt the Service or its security;
- use the Service to cheat on, or to compromise the integrity of, any real exam;
- upload unlawful, infringing, or harmful content; or
- misuse the AI tutor or automated tools to abuse rate limits or extract content in bulk.
10. Content you submit
When you submit content — such as error reports, notes, or messages — you grant us a worldwide, royalty-free license to use it to operate, support, and improve the Service. You confirm you have the right to share it and that it isn’t unlawful or infringing.
11. No guarantee of a passing score
Except for the specific commitments in our Pass Guarantee, we do not guarantee that you will pass any exam or achieve any particular score. Results depend on your own effort, preparation, and performance on exam day.
12. Third-party services
The Service relies on third parties (for example, payment, hosting, analytics, and email providers) and may link to third-party sites. We’re not responsible for third-party services or content, and your use of them is governed by their terms.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, misuse the Service, or engage in fraud or abuse. If we terminate your access for a serious violation, you may not be entitled to a refund. Sections that by their nature should survive (ownership, disclaimers, liability limits, dispute resolution) survive termination.
14. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or that content is complete or current.
15. Limitation of liability
To the fullest extent permitted by law, Authority Group LLCwill not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the pass giving rise to the claim in the 12 months before the claim. Some jurisdictions don’t allow certain limits, so parts of this may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless Authority Group LLC from claims and expenses arising out of your misuse of the Service or violation of these Terms.
17. Dispute resolution & arbitration
Please contact us first — we want to resolve issues directly. If we can’t, you and we agree that disputes will be resolved by binding individual arbitration, not in court, and that you and we waive any right to a jury trial or to participate in a class action. You may opt out of arbitration by emailing us within 30 days of first accepting these Terms. This does not prevent either party from seeking relief in small-claims court.
18. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and the exclusive venue for any matter not subject to arbitration is the state and federal courts located in Travis County, Texas.
19. Copyright (DMCA)
If you believe content on the Service infringes your copyright, email us at support@capitalprep.com with the details required by the DMCA (identification of the work, the material, your contact information, and a good-faith statement), and we’ll respond appropriately.
20. Changes & contact
We may update these Terms; we’ll post the new version with a new date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them. Questions?
